1. Acceptance of Terms
By accessing or using any services offered by Stablerail, Inc. ("Stablerail," "we," "our," or "us"), including but not limited to its web platform, APIs, documentation, mobile applications, and associated support services (collectively, the "Service"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Stablerail is a regulatory automation platform for cryptocurrency and digital asset businesses. The Service includes tools for licensing automation, jurisdictional analysis, document generation, regulatory monitoring, and related compliance operations. The Service is provided as software-as-a-service (SaaS) and may be accessed through our website or other interfaces we provide.
3. Eligibility
You must be at least 18 years old and have the authority to bind a company or other legal entity to these Terms to use the Service. You represent that all registration information you provide is accurate and complete.
4. User Accounts
To access most features, you must register for an account. You agree to:
- Provide true, accurate, and complete information
- Keep your login credentials secure
- Promptly update account information
- Accept responsibility for all activities under your account
- Notify us immediately if you suspect unauthorised access
We reserve the right to suspend or terminate your account if we believe it has been compromised or misused.
5. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation
- Transmit any data that infringes on third-party rights
- Upload malicious code or content
- Interfere with the integrity or performance of the Service
- Access or attempt to access systems or data not intended for you
- Resell, sublicense, or otherwise exploit the Service except as expressly permitted
We reserve the right to suspend access to any User engaged in prohibited conduct.
6. Fees and Payment
If you subscribe to a paid plan:
- Fees are due in advance and billed on a project or subscription basis
- All fees are non-refundable unless otherwise specified in writing
- You authorise us to charge your selected payment method
- We may change prices with 30 days' notice
- Late or failed payments may result in service suspension or termination
Additional terms may apply for enterprise engagements or custom service tiers.
7. Intellectual Property
All rights, title, and interest in and to the Service—including source code, software, designs, text, logos, and trademarks—are and will remain the exclusive property of Stablerail and its licensors.
You retain all rights to the data and content you upload to the Service. You grant Stablerail a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content solely for the purpose of operating, improving, or providing the Service.
8. Data Privacy
Our Privacy Policy (linked separately) governs the collection and use of your personal and organisational data. By using the Service, you agree to the processing described therein, including data storage in the United States and other jurisdictions as required for service delivery.
If you are subject to regulatory data handling obligations (e.g. GDPR, CCPA), you are solely responsible for ensuring compliance with applicable laws, including securing appropriate consents.
9. Service Availability and Updates
We strive to maintain uninterrupted access to the Service but provide no guarantee of uptime. We may:
- Modify or deprecate features at our discretion
- Perform scheduled maintenance or urgent patches
- Suspend access for maintenance or security purposes
You agree that Stablerail is not liable for any service interruptions, delays, or data loss except as expressly stated in a separate SLA (if applicable).
10. No Legal or Financial Advice
The Service is provided for informational and operational support purposes only. It does not constitute legal, financial, or regulatory advice. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including obtaining independent legal counsel where appropriate.
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STABLERAIL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (I) $500 OR (II) THE AMOUNT PAID BY YOU IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless Stablerail and its affiliates, directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service
- Violation of these Terms
- Infringement of any third-party rights, including data privacy and intellectual property
13. Termination
We may terminate or suspend your access immediately for breach of these Terms, legal non-compliance, or harmful activity. You may terminate your account at any time by written request. Termination does not relieve you of payment obligations incurred prior to termination.
Upon termination:
- Your access to the Service ceases
- We may delete your content after 30 days, unless legally required to retain it
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws. All disputes shall be resolved exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in those courts.
15. Changes to Terms
We may modify these Terms from time to time. Material changes will be notified via email or the Service. Continued use of the Service following such notice constitutes acceptance of the updated Terms.
16. Severability and Waiver
If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce any right or provision will not constitute a waiver.
